Terms and Conditions

These terms and conditions ("Terms") and the specific terms of use for the Services ("Service-specific terms") apply to the mobile applications and websites (including www.vuokrakulut.com and www.rentfol.io/ ) and other services offered by Rentcal Oy ("Rentcal") (together, the "Services"). The Terms do not apply to rental relationships between landlords and tenants, and such agreements must be made separately.

By registering as a user of the Service or otherwise using the service, you confirm that you have read and accepted these Terms and may therefore download, install or use the Services. These Terms affect your legal rights and obligations, so if you do not accept the Terms, you may not use the Services. Rentcal's Services are not intended for users who are not legally competent or who have not reached the age required for legal competence, and therefore use of the Service contrary to this section violates these Terms.

By accepting the Terms, you agree to read Rentcal's Privacy Policy, which describes, among other things, what types of information Rentcal collects, how information is used and how such information is shared with third parties. Rentcal's Privacy Policy is available at https://www.rentfol.io/en/privacy-policy . Although Rentcal's Privacy Policy is not part of these Terms and does not create contractual obligations for you, it contains information that you should review before starting to use the Services. Rentcal's Privacy Policy applies to collected information regardless of whether you read the Privacy Policy or not.

When you use the Services via a mobile network, network or roaming service provider message, mobile data and other applicable charges may apply to the Services. Your network service provider may prohibit or restrict downloading, installing or using the Services, and some or all parts of the Services may not work with your network service provider or device.

Use of the Services

The Services are available to natural persons or legal entities using the Services. If you accept these Terms on behalf of a legal entity, you represent that you have the authority to accept the Terms on behalf of the legal entity, in which case references to "you" in these Terms mean the legal entity. When registering for the Service as a legal entity to offer services as a service provider operating through the Service ("Service Provider"), you must create a business profile. Opening a business profile requires a separate agreement with Rentcal ("Cooperation Agreement"). The Cooperation Agreement applies to activities through the business profile and, in accordance with the Cooperation Agreement, you may offer services through the Service. These Terms and the Cooperation Agreement together form an agreement ("Agreement") between the Service Provider and Rentcal, and if the Cooperation Agreement and these Terms conflict, the Cooperation Agreement shall prevail. If a contractual relationship is formed between a natural person and a Service Provider through the Service, Rentcal is not a party to that contractual relationship and is therefore not responsible in any way for the rights or obligations under the agreement between the natural person and the Service Provider or for the service in question.

When purchasing services or forming a contractual relationship as a natural person or legal entity through the Service and/or with a Service Provider featured in the Service, you must enter into an agreement separately with that Service Provider, and Rentcal is not a party to that agreement in any way and is therefore not responsible for services produced by the Service Provider in any way.

If you download, log in to and/or use the Services (a) as a natural person, the Services are provided for personal and non-commercial use only; or (b) as a legal entity, the Services are provided to you for company use only. You may not sell, transfer, rent or assign your right to use or log in to the Services to a third party. You may not use the Services if you have previously been denied the right to use any part of Rentcal's Service.

You may register only one (1) user account per profile in the Service (personal profile and/or business profile) for use of the Services, unless otherwise agreed separately with Rentcal. Access to properties in the Service may be shared between profiles you select through functions in the Service. You agree to provide accurate, correct, up-to-date and complete information about yourself and other information required by the Service, as requested in the registration process for the Services or otherwise in the Service, and to notify Rentcal of any possible changes to your information.

By publishing information in the Service, some of the information you publish (such as property-related information you add to the Service) may become public. Please note that you are responsible for the information you publish and its accuracy, validity and timeliness. You are also responsible for having the right to publish the information. Rentcal is not responsible for information published by users and does not verify the accuracy of information, but Rentcal reserves the right to remove any information that violates these Terms and applicable legislation. In addition, please note that some comments may be public and the content of comments must also comply with these Terms.

By accepting these Terms, Rentcal grants you a limited, exclusive, non-sublicensable, freely revocable and non-transferable right to download, log in to and/or use the Services and the versions of Rentcal's mobile application available from time to time (but not the source code).

You are personally responsible for the use of your user account and for all communication, content and activity on your user account in connection with use of the Services. Rentcal is not responsible for the content of your user account. You also agree that Rentcal has no obligation to use, retain or maintain the above information related to your user account, although Rentcal may nevertheless do so at its discretion.

You understand that the Services may need to be updated automatically, re-downloaded and new versions created or otherwise improved, for example to maintain system security and stability, and therefore application usage requirements may change over time. These Terms do not give you the right to future updates, new versions or other improvements to the application, but Rentcal may nevertheless offer them to you at its discretion.

Rentcal may restrict, suspend, terminate, modify or remove access to the Services or parts thereof without separate notice to you if you do not comply with the Terms or Rentcal suspects non-compliance with the Terms or other illegal or inappropriate use of the Services. Rentcal may also have other legal remedies available, which it may use at its discretion. You may lose access to the Services as a result of termination or restriction, along with material, content and rights related to use of the Services (including possible in-Service purchases and/or in-app purchases). Rentcal is not obliged in any way to compensate you for such losses or consequences.

You may use the Services only in accordance with these Terms, the Service-specific terms and applicable local, national and international laws, rules and regulations.

On some devices, you can control what device system permissions you grant to the Services. Rentcal's mobile application is intended to be used with all permissions mentioned during installation, and denying these permissions may cause the Services not to work properly.

Intellectual property rights

All rights to the Services and ownership of the Services (including related software and media), the design of the Services and related content (including text, code, graphics, sound, video, interactive features and the like), as well as trademarks, service marks and logos (including trade names, trademarks, logos, product and service marks and slogans appearing in the Services) ("Rentcal Property") are intellectual property rights owned by or licensed to Rentcal, protected under trademark law, other intellectual property laws, unfair competition law and international treaties. Unless expressly provided otherwise in the Terms, Rentcal does not grant you the right to use any Rentcal Property except the right to use the Services in accordance with these Terms and any possible Service-specific terms and other possible contractual terms. You may not reproduce or have reproduced copies of any material included in the Services or make the material or any part of it available to the public by distributing, transmitting, performing or displaying it publicly, unless Rentcal and any other rights holder have given prior written consent or mandatory provisions of applicable law provide otherwise. You have no right to create a new work or new service from the Services and material or parts thereof.

All feedback you provide relating to the Services and public comments you publish are considered non-confidential and Rentcal and other users of the Service may use such feedback and comments without restriction. For clarity, private messages, including emails and messages sent through the Service contact form, will not be published without the user's consent.

User-generated content

You may be able to send or share messages and/or other content in the Services ("User-generated content"). Rentcal has no obligation to monitor any User-generated content. However, Rentcal has the right (but not the obligation) to remove any User-generated content that does not comply with these Terms.

You are responsible for all User-generated content that you have uploaded, sent, transmitted or stored from your user account or otherwise published in the Services. You own User-generated content, but Rentcal may nevertheless publish and use this material free of charge and/or include it or part of it in Rentcal's products. You agree that use of the Services (including User-generated content) may be subject to certain laws, regulations, terms or restrictions. You must comply with these laws, regulations, terms or restrictions and reasonably ensure that User-generated content does not contain material that is illegal, indecent, offensive, threatening, harassing, impersonates another person, incites religious, racial or ethnic hatred, or infringes others' intellectual property rights and/or other rights; and it does not contain viruses or other intentional or harmful code. You agree that the material is not confidential. You are responsible to both Rentcal and third parties for ensuring that User-generated content sent for publication does not infringe third-party copyright, trademark rights or other intellectual property rights and does not contain anything illegal, infringing rights (such as privacy), inappropriate or contrary to good practice or otherwise unfit for publication, without limitation to the above. You agree that you will not take action against Rentcal relating to User-generated content, and you are liable to Rentcal if a third party takes action against Rentcal because of User-generated content.

Rentcal does not claim ownership of any User-generated content, but you grant Rentcal a worldwide, non-exclusive, free, sublicensable and transferable right to use, deliver, adapt (for technical purposes such as scaling size and resolution) and otherwise exploit all User-generated content that you have written, uploaded or otherwise provided to the Services, including the right to deliver and transmit content provided by the user to third parties (at the user's request) and to display advertising in connection with it. The above granted right ends when you remove or destroy User-generated content from the Services. You may also grant each recipient to whom you have sent User-generated content in the Services a non-exclusive right to use User-generated content through the Services. Rentcal respects the intellectual property rights of others. We strive to quickly remove any infringing material from our pages. If Rentcal becomes aware that one of its users has repeatedly infringed copyrights or these Terms, our practice is to take reasonable action to close the user's account. All users should be aware of applicable copyright laws and comply with them.

If you suspect that something in the Services infringes copyright that you own or control, you may send a notice of such infringement to support (by email: [email protected] or [email protected]). The notice must include: 1) the name and contact details of the person making the notice; 2) a description of the material to which access is to be blocked and information on the location of the material; 3) confirmation by the party making the notice that the material related to the request is unlawfully available on the communication network; 4) information that the person making the notice has unsuccessfully submitted a request to the content provider to remove the material or that the content provider could not be identified; 5) confirmation by the person making the notice that they are the holder of copyright or related rights or have the right to act on behalf of the rights holder; 6) the signature of the person making the notice.

Third-party services and terms

The Services may contain links to websites maintained by third parties or content maintained by a third-party service provider, including Service Providers' websites and content through which you can log in and use certain services of those parties. Use or licensing of websites, services and/or service content maintained by third parties and Service Providers is subject, in addition to these Terms, to the terms of the relevant third party and/or Service Provider under which such content is available.

Rentcal is not responsible for such third-party or Service Provider services and/or content. If you use a third-party or Service Provider site or services through the Services or through that party's sites or services, you do so at your own risk and understand that these Terms and Rentcal's Privacy Policy do not apply to such sites, content or services you use. You expressly release Rentcal, its subsidiaries, agents, directors, employees, suppliers and licensors from all liability arising from use of a third-party and/or Service Provider site, service or content. A link to a service or website other than Rentcal's, including a Service Provider's service or website, does not mean that Rentcal endorses the site or the information, products or services referred to in such service or website.

These Terms may apply in addition to the terms applicable to the distribution platform (such as an app store, e.g. Apple App Store or Google Play) through which you purchase the Services and which you have accepted in connection with use of the relevant third-party service. If there is a conflict between the terms applicable to the distribution platform and these Terms, these Terms shall prevail unless prohibited in the terms of the applicable distribution platform.

Payments

Certain features (defined in more detail in the Services) are available to users free of charge and certain features are available for a fee. Payment terms are set out in the Service-specific terms or in the Cooperation Agreement between the Service Provider and Rentcal. Rentcal has the right to change fees at any time at its discretion. Rentcal will notify you in advance if fees or related terms are changed. If you continue use or make new payments after this, you are deemed, in accordance with applicable law, to have accepted the changes to fees. Rentcal has the right to appoint payment service providers to receive payments on Rentcal's behalf.

Maintenance and changes

Under these Terms, Rentcal has no obligation to provide support or maintenance for the Services. Rentcal may, at its discretion, provide limited customer support for the Services. You understand that the Services evolve over time. As long as your right to use the Services is valid, you have the right to use improvements or updates to the Services. All improvements and updates are delivered to you in exchange for the right to use the previous version. You agree that by using an improvement or update, you voluntarily waive your right to use any previous version. Improvements and updates may be licensed to you on supplementary or different terms. You may need to update third-party software and/or update your devices from time to time in order to use the Services.

Limitation of liability

Rentcal (including its service providers) is not liable for any direct or indirect damage, including delay, damage caused by inability to use the Service, loss of income, goodwill, right of use or information or other economic loss resulting from (i) use of or inability to use the service or product; (ii) cost of obtaining a replacement product or service; (iii) information or messages received through the service; (iv) unauthorised access to data transmissions or unauthorised alteration of data; or (v) other circumstances related to the service, including an incorrect calculated value produced by the Service, if the error results from an error in the Service or an error you made.

For consumer customers, Rentcal is responsible for the free or paid Services it provides and products sold through the Services and the accuracy, quality and functionality of related information in accordance with applicable consumer protection legislation, subject to the limitations in the Terms.

Indemnification

You are obliged to compensate Rentcal for damage caused by these Terms, possible Service-specific terms, Rentcal's Privacy Policy for the Services, an agreement concerning individual services or unlawful use of the Services. You are responsible for errors or delays resulting from incomplete or outdated information you provide.

If individual services included in the Services require the use of user-specific credentials and passwords, you are responsible for keeping credentials and passwords secure and ensuring they do not become known to third parties. Credentials and passwords are used to identify the correct user and therefore the user is responsible for all transactions and other actions performed with the correct credentials and password in an individual service. If the user notices or suspects that their credentials and passwords are being used without authorisation by third parties, they must immediately notify Rentcal. In addition, the user must maintain the information security of the devices they use and regularly change their password to ensure confidentiality.

Force majeure

Force majeure releases Rentcal from obligations related to the Services and individual services if it prevents performance related to the Service or part thereof or unreasonably hinders it. Force majeure includes fire, earthquake, epidemic, pandemic, flood, explosion, strike or other work stoppage, authority order, disruption in energy supply, shortage of raw materials or supplies, war, cable or other telecommunications disruption caused by or resulting from external factors, or other similar cause whose occurrence was not known to Rentcal and which could not reasonably have been anticipated in advance. Rentcal will notify of force majeure on the service pages as soon as it has occurred, if notification is possible.

Provision and termination of the Services

Under these Terms, the right to use the Services granted to you remains in force until you or Rentcal terminate it. You may terminate the right of use at any time by uninstalling or removing the applications through which you use or manage the Services or by ceasing use of the Services. Rentcal may have a statutory obligation to retain certain information relating to you or use of the Service.

The right of use ends automatically without separate notice from Rentcal if you violate these Terms in any way. When use of the Services ends under these Terms for any reason, you must cease all use of the Services and immediately remove applications related to the Services. Termination of the right of use for any reason does not release you from liabilities or obligations set out in these Terms that (a) are expressly stated to apply also after such termination or ending, or (b) by their nature are intended to remain in force after termination or ending of the right of use.

You acknowledge and accept that revocation of the right of use is your only right and remedy in disputes relating to use of the Services. Rentcal may without prior notice change the Services, cease providing the Services or features of the Services to you or users generally, or create usage restrictions for the Services. Rentcal may permanently or temporarily terminate or suspend your access to the Services for any reason without notice and liability, including in a situation where we assess that you violate these Terms, unless otherwise stated in the Service-specific terms.

General

Rentcal may transfer or delegate its rights and obligations under the Terms in whole or in part to any person or entity at any time without your consent. You may not transfer or delegate your rights or obligations under the Terms without Rentcal's prior written consent. These Terms and other Service-specific terms contain the terms of the agreement between you and Rentcal and replace all previous terms on the matter between you and Rentcal.

These Terms describe certain legal rights you have as a user. You may have other rights under mandatory provisions of the laws of your country of residence. These Terms do not alter your rights under mandatory provisions of the laws of your country of residence. You and Rentcal agree that if any part of the Terms or Rentcal's Privacy Policy is found by a competent court to be unlawful or unenforceable in whole or in part, such provision is ineffective within the jurisdiction of the competent court only to the extent that it is unlawful or unenforceable without affecting legality and enforceability, jurisdiction or the remaining provisions of the Terms, which remain in force thereafter.

Rentcal reserves the right to change, modify, add or remove parts of the Terms and Privacy Policy at any time. You accept such changes by continuing to use the Services. However, Rentcal will notify users of all material changes to the Terms by sending a notice in the Service and/or by email. If at any point you do not accept our current Terms, Rentcal's Privacy Policy or other Rentcal policies, rules or codes of conduct relating to use of the Services, your right to use the Services ceases immediately and you must immediately cease use of the Services. You can always stop using the Services by removing the application or web service if necessary. Check the Services regularly to stay up to date with the current Terms.

If conflicts arise between these Terms and the Service-specific terms, the mentioned Service-specific terms take precedence over these Terms.

Dispute resolution and applicable law

All disputes relating to the Services and Terms shall be resolved in the District Court of Helsinki. These Terms shall be governed by and construed in accordance with Finnish law, excluding conflict of law rules. In addition to litigation, you may be entitled to refer disputes concerning the Services to a third-party dispute resolution body, such as the Consumer Disputes Board.
